Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the websites, platforms and services operated by Tekscopes Ltd, a company registered in Nigeria under RC 9271720, with its registered office at 21 Lanre Olumide Street, Idado Estate, Lagos, Lagos State, Nigeria (“Tekscopes”, “we”, “us”). By creating an account, purchasing a subscription, engaging us for services, or otherwise using our platforms, you agree to these Terms. If you do not agree, do not use our services.

1. Scope of Services

Tekscopes provides two categories of service:

  • Subscription platforms. Software products that we build and operate, made available to you on a self-service basis for a recurring fee. This includes Linkcast (creator monetisation), Maizehost (web and cloud hosting) and Giddar (short-let marketplace).
  • Professional services. Software consulting, custom development, cloud infrastructure, design and security work delivered under a separate written statement of work or proposal.

Where a signed statement of work conflicts with these Terms, the statement of work governs the engagement it covers. We may modify, suspend or discontinue any feature of a platform, and will give reasonable notice of material changes that adversely affect paying subscribers.

2. Eligibility and Accounts

You must be at least 18 years old and legally capable of entering a binding contract. You are responsible for the accuracy of the registration information you provide, for keeping your credentials confidential, and for all activity that occurs under your account. Notify us at payments@tekscopes.com immediately if you suspect unauthorised use of your account.

3. User Obligations

You agree that you will not:

  • Use our services for any unlawful purpose, or in breach of Nigerian or applicable foreign law.
  • Upload, host or transmit malware, or content that is fraudulent, defamatory, obscene, or infringes another party’s rights.
  • Attempt to gain unauthorised access to our systems, probe or scan our infrastructure, or interfere with service to other users.
  • Resell, sublicense or white-label a platform without our prior written consent.
  • Use our payment facilities to process transactions unrelated to the service, or to launder funds.

You retain ownership of the content you upload, and you grant us a limited licence to host, process and display that content strictly as required to operate the service for you.

4. Payment Terms

  • Currency and pricing. Prices are displayed at the point of purchase. Nigerian customers are charged in Naira (NGN); international customers may be charged in US Dollars (USD). Applicable taxes, including VAT where chargeable, are added at checkout.
  • Subscriptions. Subscription fees are billed in advance on a recurring basis and renew automatically for the same term until cancelled. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.
  • Payment processing. Card and transfer payments are processed by licensed third-party payment providers. We do not store full card numbers on our systems.
  • Failed payments. If a renewal payment fails, we may retry it and may suspend access until the balance is settled.
  • Professional services. Fees, deposits and milestone schedules are set out in the applicable statement of work. Invoices are payable within 14 days of issue unless stated otherwise.

Refunds are governed by our Refund Policy, which forms part of these Terms.

5. Intellectual Property

All software, source code, designs, trademarks, documentation and other materials that make up our platforms remain the exclusive property of Tekscopes Ltd or its licensors, and are protected by copyright, trademark and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to use the service for its intended purpose. Nothing in these Terms transfers ownership of our intellectual property to you.

For professional services, ownership of bespoke deliverables transfers to the client on full payment of all sums due, except that we retain ownership of our pre-existing tools, libraries and know-how, and grant a perpetual licence to use them as embedded in the deliverable.

6. Service Availability and Warranties

We take reasonable commercial steps to keep our platforms available and secure, but except where a specific service level is stated in a written agreement, our services are provided on an “as is” and “as available” basis. We do not warrant that the service will be uninterrupted, error-free, or that it will meet requirements we have not expressly agreed in writing.

7. Limitation of Liability

To the fullest extent permitted by law, Tekscopes Ltd shall not be liable for any indirect, incidental, special, consequential or punitive damages, nor for loss of profit, revenue, data, goodwill or business opportunity, arising out of or in connection with your use of our services, whether in contract, tort or otherwise.

Our total aggregate liability arising out of or relating to the services in any twelve-month period shall not exceed the total amount you actually paid to us for the service giving rise to the claim during that period. Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.

8. Indemnity

You agree to indemnify and hold Tekscopes Ltd harmless against claims, losses and reasonable legal costs arising from your breach of these Terms, your misuse of the services, or content you upload that infringes the rights of a third party.

9. Termination

You may terminate your account at any time by cancelling your subscription and ceasing use of the services. We may suspend or terminate your access, with notice where practicable, if you materially breach these Terms, if your account is used unlawfully, if payment remains outstanding after a reminder, or if required by law or by a payment provider.

On termination, your right to use the service ends immediately. We will make your data available for export for 30 days following termination, after which it may be deleted in line with our Privacy Policy. Termination does not relieve you of the obligation to pay sums already due, and any refund entitlement is determined solely by our Refund Policy.

10. Changes to These Terms

We may amend these Terms from time to time. The “last updated” date above will change when we do. For material changes affecting paying customers we will give at least 14 days’ notice by email or in-product notice. Continued use after the change takes effect constitutes acceptance.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. The parties will first attempt in good faith to resolve any dispute through negotiation within 30 days of written notice. Failing that, the dispute shall be submitted to the exclusive jurisdiction of the courts of Lagos State, Nigeria. Nothing in this clause prevents either party from seeking urgent injunctive relief.
